SaaS Terms of Service & Software License Agreement

This Software-as-a-Service Master Agreement ("Agreement" or "Terms of Service") is a legal, binding agreement between your entity or organization ("Client", "Subscriber", "Merchant", or "User") and Roxan Labs ("Company", "We", "Us", or "Our").

By creating an account, initiating a SaaS subscription, deploying our cloud tools, or accessing any hosted software provided by Roxan Labs, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

Subject to continuous compliance with these Terms and timely payment of subscription fees, Roxan Labs grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use our SaaS platforms via cloud web dashboards and authorized API integrations during your active subscription period.

Subscribers are solely responsible for maintaining the strict confidentiality of account administrative credentials, API access tokens, and passwords. You agree to immediately notify Roxan Labs of any unauthorized access or suspected security compromise.

Roxan Labs offers tiered subscription plans (Monthly, Annual, and Custom Enterprise). All subscription fees are billed in advance according to your chosen billing cycle.

Roxan Labs commits to maintaining a 99.9% Uptime Service Availability target for core SaaS production APIs and web infrastructure, excluding scheduled maintenance windows.

You retain 100% sole ownership of all customer data, records, and files ingested into or generated by your usage of Roxan Labs SaaS solutions. Roxan Labs claims no ownership rights over your proprietary business data.

Roxan Labs operates as a Data Processor under applicable data privacy frameworks (including GDPR guidelines). We process customer data strictly in accordance with your configured application instructions and settings.

Subscribers must use Roxan Labs SaaS solutions strictly for lawful commercial and institutional purposes. The following activities are strictly prohibited and constitute grounds for immediate termination without refund:

All software code, database architecture, UI designs, algorithm logic, documentation, logos, and trademarks associated with Roxan Labs products remain the exclusive intellectual property of Roxan Labs.

No ownership rights, copyright transfers, or patent assignments are granted to Subscribers under these Terms. All rights not expressly granted herein are reserved by Roxan Labs.

Either party may terminate a SaaS subscription by providing written notice prior to the start of the next billing cycle. Roxan Labs reserves the right to suspend or terminate services immediately if:

1. Subscriber breaches any provision of the Acceptable Use Policy (AUP).
2. Payment of subscription invoices remains delinquent beyond the 7-day grace period.
3. Required by law enforcement or regulatory authorities.

Roxan Labs SaaS services are provided on an "AS IS" and "AS AVAILABLE" basis. While we maintain industry-leading engineering standards, we do not warrant that service will be completely uninterrupted or error-free under all regional ISP or network conditions.

These Terms of Service shall be governed by and construed in accordance with applicable corporate and commercial laws. Any dispute, controversy, or claim arising out of this Agreement shall first be submitted to informal executive negotiation for a period of 30 days. If unresolved, disputes shall be settled through binding arbitration.

Roxan Labs reserves the right to update these Terms from time to time to reflect technological enhancements or legal updates. Material revisions will be communicated via dashboard alerts or email notifications at least 15 days prior to taking effect.
